Terms of Service — Horsing
These Terms govern use of the Horsing iOS app, websites and portals, and related APIs (the “Service”). Privacy practices are described separately in our Privacy Policy. Role-specific addenda (for example carrier, broker, merchant, or driver terms) may apply in addition when you use those features. Have counsel review this document before relying on it for high-stakes commercial contracts.
By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Agreement and eligibility
These Terms form a binding agreement between you and Horsing APP Inc. If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” includes that entity.
- You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract.
- Horsing is a business logistics platform and is not directed to children.
- Certain features may present additional terms (invitations, brokerage agreements, chat, shop/merchant, or payment terms). Those apply in addition to these Terms; if there is a conflict for that feature, the more specific terms control for that feature.
2. The Service
Horsing provides software tools for freight and logistics operations. Depending on your role and plan, the Service may include accounts and organization profiles; shipment posting, claiming, matching, and loadboard tools; trip tracking and maps; messaging and notifications; shop / merchant tools; memberships, credits, or other paid features; admin and partner web portals; and related APIs.
- Features vary by role, organization membership, region, verification status, and subscription or add-on plan.
- We may modify, suspend, or discontinue any part of the Service, including features or availability, with or without notice, to the extent permitted by law.
- Beta, preview, or experimental features are provided as-is and may change or be removed without notice.
3. Accounts, security, and verification
- Provide accurate, current registration and profile information and keep it updated. Do not impersonate others or use credentials you are not authorized to use.
- You are responsible for safeguarding passwords, devices, and account access, and for activity under your account. Notify us promptly at support@horsing-app.com if you suspect unauthorized access.
- If you register as a carrier, broker, freight forwarder, or similar regulated role, you represent that DOT/MC numbers, authority, insurance, and other compliance information you provide are true and current to the best of your knowledge. Third-party signals (for example FMCSA-related data) are a convenience, not a guarantee.
- You may request account deletion as described in the Privacy Policy or through any in-app deletion flow we provide. We may retain certain records as required by law, fraud prevention, disputes, or legitimate business needs.
4. Acceptable use
You agree not to, and not to assist others to:
- Violate applicable law, including transportation, privacy, intellectual-property, or FMCSA / motor-carrier rules that apply to you
- Post false, fraudulent, duplicate, or misleading loads, rates, capacity, credentials, identity, insurance, or authority information
- Engage in identity fraud, unauthorized use of another party’s DOT/MC number or insurance, unauthorized double-brokering, cargo diversion/theft schemes, or other freight fraud
- Harass, threaten, spam, or abuse other users; upload malware; attempt unauthorized access; scrape or bulk-extract data except through documented APIs we expressly permit; or interfere with Service integrity or security
- Misuse device permissions (location, camera, microphone, contacts, photos, notifications) for purposes unrelated to legitimate use of the Service
- Use the Service to compete unfairly with Horsing by unauthorized reverse engineering or systematic extraction of non-public data, except where such restriction is prohibited by law
5. Freight, marketplace, and your contracts with other users
Horsing is a technology platform. Unless we expressly agree in a separate written agreement that Horsing is acting as a broker, carrier, freight forwarder, or other regulated party for a specific transaction, Horsing is not a party to carriage, brokerage, warehousing, equipment rental, service-provider, or shop contracts between users.
- Users remain responsible for their own authority, insurance, safety, licensing, tax obligations, and legal compliance.
- Rates, ETAs, matches, scores, estimates, and catalogs are informational tools and may be incomplete, delayed, or incorrect.
- You are responsible for confirming load details, appointments, equipment, accessorials, and commercial terms with the other party.
- Disputes between users should be resolved between those parties. We may provide tooling or moderation assistance but are not obligated to mediate.
- We do not guarantee loads, carriers, customers, matches, sales, or any particular commercial outcome.
6. Payments, memberships, credits, and shop
- Paid features (memberships, add-ons, credits, shop checkout, or other fees) may be billed through Apple In-App Purchase, Stripe, or other processors we designate. Processor terms also apply.
- We do not store full card numbers on our servers when using those processors.
- Subscriptions renew until canceled according to the applicable store or billing portal rules.
- Applicable taxes may be charged where required.
- Credits and promotions have no cash value unless required by law, are generally non-transferable, and may expire as stated when issued.
- Digital features are licensed, not sold. Physical shop goods are subject to merchant terms and applicable consumer rules.
- For Horsing-billed charges, contact support@horsing-app.com. For Apple App Store purchases, request refunds through Apple where applicable.
7. Your content, messaging, and license
You retain rights you already have in content you submit (messages, photos, voice notes, listings, profiles, documents, feedback). You grant Horsing a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, display, transmit, and otherwise use that content as needed to operate, secure, improve, and provide the Service, and as described in the Privacy Policy.
- You represent that you have rights to submit the content and that it is lawful.
- We may remove or restrict content that violates these Terms or creates risk, but we have no obligation to monitor all content.
- Ideas or suggestions you send may be used by Horsing without restriction or compensation.
8. Intellectual property
The Service—including software, design, trademarks, logos, and documentation—is owned by Horsing or its licensors. Except for the limited right to use the Service under these Terms, no rights are granted to you. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the Service except as permitted by law or our written consent.
9. Third-party services
The Service may integrate maps, payments (for example Stripe), SMS/email providers, loadboard or regulatory data sources, Apple services, and hosting providers. Third-party terms and privacy policies apply. Horsing is not responsible for third-party outages, content, security practices, or decisions.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. HORSING DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION; ACCURATE MATCHES, RATES, ETAS, OR THIRD-PARTY DATA; OR THAT ANY LOAD, SALE, OR TRANSACTION WILL BE COMPLETED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS; IN THOSE CASES THEY APPLY TO THE FULLEST EXTENT PERMITTED.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HORSING AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST LOADS, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. HORSING’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO HORSING FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.
12. Indemnity
To the maximum extent permitted by law, you will defend and indemnify Horsing and its officers, directors, employees, and agents against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, your dealings with other users, your violation of these Terms or law, or your infringement of third-party rights.
13. Suspension and termination
We may suspend or terminate access if you violate these Terms, create fraud or safety risk, fail to pay fees, provide false credentials, or if required by law or to protect the Service or other users. We may act with or without prior notice where immediate action is reasonably needed. You may stop using the Service at any time and may request account deletion as described in the Privacy Policy. Provisions that by nature should survive (including ownership, disclaimers, liability limits, indemnity, and governing law) survive termination.
14. Changes to these Terms
We may update these Terms by posting a revised version at https://www.horsing-app.com/terms with a new “Last updated” date. Where required by law, we will provide additional notice. Continued use after the effective date constitutes acceptance where permitted by law. If you do not agree, stop using the Service.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, except where mandatory local law provides otherwise for a consumer. Subject to non-waivable rights, state and federal courts in Delaware have exclusive jurisdiction, and you consent to personal jurisdiction there, unless we mutually agree in writing to another venue. Nothing in these Terms limits either party’s right to seek injunctive or other equitable relief for intellectual-property or unauthorized-access claims.
16. General
- These Terms, the Privacy Policy, and any additional feature terms you accept are the entire agreement regarding the Service, except written commercial contracts we expressly execute with you.
- If any provision is held unenforceable, the remaining provisions remain in effect.
- Failure to enforce a provision is not a waiver.
- You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, reorganization, or asset sale.
- You represent that you are not prohibited from using the Service under applicable export-control or sanctions laws.
